Welcome to Grey Dental Consulting (“GDC,” “we,” “our,” or “us”). These Terms & Conditions (“Terms”) govern your access to and use of our website, services, consulting programs, digital tools, communications, and any related products or resources.

By using our website, submitting information, scheduling a consultation, purchasing services, or engaging with GDC in any manner, you agree to these Terms.

1. Scope of Services

Grey Dental Consulting provides business consulting, operational consulting, marketing support, patient communication support, administrative guidance, CRM implementation, automation support, website assistance, training, growth strategy, and related advisory services.

Services may be offered to:

  • Healthcare offices

  • Small businesses

  • Entrepreneurs

  • Consumers / individual clients

  • Business-to-business (B2B) clients

  • Business-to-consumer (B2C) clients

Specific deliverables, timelines, and pricing may vary by project and may be outlined in separate written agreements, proposals, invoices, or service orders.

2. No Professional Clinical, Medical, Legal, Tax, or Financial Advice

Grey Dental Consulting is not a dental clinic, healthcare provider, law firm, accounting firm, or financial advisory firm unless explicitly stated in a separate licensed relationship.

Any information provided by GDC is for general educational, operational, business, or informational purposes only.

Nothing provided by GDC should be interpreted as:

  • Dental diagnosis or treatment

  • Medical advice

  • Legal advice

  • Tax advice

  • Financial planning advice

  • Licensed professional services requiring regulated credentials

Clients and users should consult qualified licensed professionals when appropriate.

3. Dental-Specific Disclaimer

When assisting patients, consumers, or dental-related clients:

  • GDC is not a dental provider.

  • We do not diagnose conditions or prescribe treatment.

  • We do not replace licensed dental professionals.

  • Provider suggestions or educational guidance are based on general or publicly available information and should not replace professional clinical judgment.

  • If you experience pain, swelling, infection, trauma, bleeding, or emergency symptoms, seek immediate care from a licensed provider or emergency services.

4. No Guarantees of Results

We strive to provide high-quality consulting and support. However, GDC does not guarantee any specific result, including but not limited to:

  • Revenue growth

  • Increased case acceptance

  • Lead conversion rates

  • Business profitability

  • SEO rankings

  • Website traffic

  • Staff performance

  • Appointment volume

  • Operational turnaround

  • Consumer outcomes

  • Vendor approvals

  • Practice sale or acquisition outcomes

Results depend on many factors outside our control, including execution, market conditions, staffing, budgets, competition, compliance, timing, and client participation.

Past performance does not guarantee future results.

5. Client Responsibilities

You agree to:

  • Provide accurate and complete information

  • Respond in a timely manner when collaboration is required

  • Maintain lawful business operations

  • Review work product before implementation

  • Use independent judgment in business decisions

  • Maintain required licenses, insurance, and regulatory compliance

  • Protect login credentials and account access

  • Seek licensed professional advice where needed

Delays caused by missing approvals, unavailable staff, incomplete information, or failure to cooperate may impact timelines.

6. No Liability for Treatment Delays or Business Decisions

Grey Dental Consulting is not liable for treatment delays, missed opportunities, lost revenue, staffing issues, or negative outcomes resulting from:

  • A client delaying action

  • A patient postponing treatment

  • Provider availability issues

  • Insurance denials or delays

  • Staff turnover

  • Internal client mismanagement

  • Market changes

  • Third-party platform outages

  • Failure to implement recommendations

  • Decisions made independently by the client or user

Final decisions always remain with the client, consumer, patient, or business owner.

7. Third-Party Platforms & Vendors

We may assist with or recommend third-party tools or vendors such as:

  • CRM systems

  • Website platforms

  • Payment processors

  • Hosting companies

  • Call tracking tools

  • Marketing software

  • Advertising platforms

  • Analytics systems

We do not own or control third-party services and are not responsible for their pricing, outages, policies, data handling, or performance.

Use of third-party platforms may also be subject to their own terms.

8. Fees, Payments & Refunds

Unless otherwise agreed in writing:

  • Fees are due as invoiced

  • Deposits may be required before work begins

  • Monthly retainers renew until canceled under the agreed notice period

  • Late payments may pause services

  • Completed work, strategy time, setup labor, and custom deliverables are generally non-refundable

Refunds, if any, are at GDC’s sole discretion unless required by law.

9. Intellectual Property

Unless otherwise agreed in writing:

Grey Dental Consulting retains ownership of:

  • Frameworks

  • Training systems

  • Templates

  • Processes

  • Proprietary strategies

  • Internal documents

  • Branding concepts created by GDC prior to engagement

Upon full payment, clients may use paid-for deliverables for their internal business purposes unless restricted in writing.

Clients may not resell, copy, distribute, or claim ownership of GDC proprietary materials without permission.

10. Confidentiality

We respect confidential business information and expect the same in return.

Both parties agree not to improperly disclose sensitive non-public information shared during the relationship, except where required by law.

11. Communications Consent

By submitting forms, scheduling appointments, or providing contact information, you consent to receive communications from GDC, which may include:

  • Calls

  • Emails

  • Text messages

  • Appointment reminders

  • Project updates

  • Marketing messages where legally permitted

You may opt out of non-essential marketing communications at any time.

12. Website Use

You agree not to:

  • Use our website unlawfully

  • Attempt unauthorized access

  • Copy content without permission

  • Submit false information

  • Interfere with site functionality

  • Introduce malware or harmful code

We reserve the right to restrict access for misuse.

13. Limitation of Liability

To the maximum extent permitted by law, Grey Dental Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, business interruption, or reputational harm.

Our total liability for any claim shall not exceed the amount paid to GDC for the specific service giving rise to the claim during the prior three (3) months.

14. Indemnification

You agree to defend, indemnify, and hold harmless Grey Dental Consulting from claims, liabilities, damages, costs, or expenses arising from:

  • Your misuse of services

  • Your business operations

  • Regulatory violations

  • False information you provide

  • Client implementation decisions

  • Infringement caused by materials you supplied

15. Termination

Either party may terminate services subject to any separate written agreement.

Upon termination:

  • Outstanding balances remain due

  • Access to managed systems may be revoked after transition

  • Ongoing monthly services stop according to notice terms

  • Completed deliverables remain subject to these Terms

16. Governing Law

These Terms shall be governed by the laws of the State of Illinois, without regard to conflict of law principles.

Any dispute shall be resolved in a court of competent jurisdiction located in Illinois unless otherwise agreed.

17. Changes to Terms

We may update these Terms at any time. Updated versions become effective when posted to our website.

Continued use of our website or services after updates constitutes acceptance of the revised Terms.
